Terms and Conditions 2026

By registering for DRiV’s OVERDRIV Shop Solutions Loyalty Program (the "Shop Loyalty Program"), you acknowledge and agree on behalf of yourself and your Business(es) (as defined below) to be bound by the following terms and conditions governing the Shop Loyalty Program ("Terms"). If you do not agree to these Terms, do not register for the Shop Loyalty Program. Rewards are only available from Federal-Mogul Motorparts LLC (“Sponsor”). Sponsor reserves the right to modify or terminate the Shop Loyalty Program at any time and in any manner, in whole or in part, as outlined below, effective prospectively, even though such changes may affect the availability of Rewards. You agree that you will review these Terms periodically and that you and your Business(es) shall be bound by these Terms and any modifications hereof.

This Shop Loyalty Program is intended for participation in the United States, Puerto Rico and Canada only. Do not participate if you are not an authorized representative participating on behalf of an eligible Business or Businesses and located in the United States, Puerto Rico or Canada at the time of participation. Not open to the general public. Void where prohibited.

INCENTIVE SALES PERIOD: The Shop Loyalty Program begins January 1st, 2026 at 12:00:00a.m. Eastern Time (“ET”), and ends December 31st, 2026 at 11:59:59 p.m. ET (“Program Period”).

ELIGIBILITY: NOT OPEN TO THE GENERAL PUBLIC. PARTICIPATION IS BY INVITATION ONLY. Open only to automotive service or repair businesses who purchase the Sponsor’s products from a third party provider, have been invited to become a member of the Shop Loyalty Program by a Sponsor sales representative or distributor (each a “Business” or collectively “Businesses”), and are located in the fifty (50) United States, the District of Columbia, Puerto Rico or Canada. Each Business must designate at least one (1) current employee in good standing to act as its authorized representative with respect to its Rewards Account (as defined below) (each an “Authorized Representative”). Officers, directors and employees of Sponsor, and its parent, subsidiaries and affiliated companies, distributors, advertising, promotional and judging agencies, persons engaged in the development, production or distribution of materials for this Shop Loyalty Program (collectively, “Shop Loyalty Program Parties”) and the immediate family members (parent, child, sibling, and spouse of each) of and/or persons living in the same household as such individuals (whether related or not) are not eligible to participate in the Shop Loyalty Program. No groups, clubs, newsletters or organizations may participate in this Shop Loyalty Program on behalf of the group, club or organization. Void where prohibited. Subject to all applicable federal, state, provincial, and local laws. Note: It is each Business’s sole responsibility to confirm whether the Business has any policies or restrictions concerning participation in trade programs or the acceptance of trade incentives.

TO REGISTER: An eligible Business may participate in the Shop Loyalty Program by having an Authorized Representative set up one (1) Business rewards account or multiple Business rewards accounts (“Rewards Account(s)”) as per instructions below. (Limit fifteen (15) Rewards Accounts per eligible Business.) A Sponsor sales representative or distributor will invite each Business to visit OVERDRIVSHOPSOLUTIONS.COM (“Website”) and each Business will be assigned an 8-digit unique invitation code. Within fourteen (14) calendar days after receipt of the code, an Authorized Representative may use this one-time code to enroll in the program on behalf of the Business(es) by visiting the Website and registering to become a Member (each Business and its Authorized Representative(s) are collectively referred to herein as a “Member”). Authorized Representatives can sign up their Business(es) to become Member(s) in one of the three following ways:

  • As an individual store location
  • As multiple store locations participating individually (each shop stands alone, will have single shop thresholds, and shops submit invoices independently), or
  • As multiple store locations participating as a group (thresholds will be multiplied by the number of shops and use one phone number for all invoice submissions).

In the event a Member does not submit any purchases to the Shop Loyalty Program in any six-month period, the Member may be removed from the Shop Loyalty Program.

Authorized Representatives may submit invoices/purchases to earn Rewards in one of the two following ways:

  1. An Authorized Representative can download the Shop Loyalty Program invoice submission application (“App”) to a smart phone (“Smart Phone”); see minimum phone requirements below. Using the App on the assigned Smart Phone, an Authorized Representative can then submit invoices and record purchases of qualifying DRiV Automotive products directly from the original vendor invoices (not photocopies) to earn Rewards on behalf of the Business (as defined below). Returning Members need to login to their Rewards App on their Smart Phone with the email address and password they supplied at enrollment to submit invoices. The Sponsor will have the right to contact the Business to confirm that the person submitting any invoice on behalf of the Business is an Authorized Representative. Rewards will be defined based on the type of Rewards Account originally set-up for the Business(es).
  2. An Authorized Representative can elect to have its purchases pulled directly from its shop management system (SMS) by installing a “Direct Access Page” (DAP) on the Business’s local server containing its SMS. If an Authorized Representative elects to use this option, the Authorized Representative will receive an email link containing the download information for the DAP, which is facilitated through MOTOR Information Systems, a third party (“MOTOR”). In order to install the DAP, the Authorized Representative will need to accept the terms and conditions provided by MOTOR that govern the installation and use of the DAP and any related software and follow the installation steps provided. After installation, the Business’s data regarding qualifying DRiV Automotive products will be pulled each night and loaded automatically onto the Business’s Rewards Account. The Sponsor will have the right to contact the Business to confirm that the person submitting any invoice on behalf of the Business is an Authorized Representative. Rewards will be defined based on the type of Rewards Account originally set-up for the Business(es). Sponsor will not disclose or share a Business’s data accessed or disclosed through the DAP with other Businesses participating in the Shop Loyalty Program.

Each Business must be in possession of its own Smart Phone. The Sponsor will not be providing a Smart Phone to any Business to participate in the Shop Loyalty Program.

Minimum requirements for Smart Phone:

  • iOS: Requires iOS 13.0 or higher
  • Android: Requires Android 5 or later, with minimum 8 megapixel or more and rear-facing autofocus camera

By creating a Rewards Account, each Authorized Representative represents and warrants that he or she has all rights and authorizations necessary to register on behalf of his or her Business and bind the Business to these Terms. Each Business is solely and ultimately responsible and liable for any and all acts of its Authorized Representative(s) with respect to and in connection with the Business’s Rewards Account.

Limit one (1) Rewards Account per Member/Smart Phone. Rewards may not be combined from different Rewards Accounts for any purpose.

Please review the Sponsor’s privacy statement for details of Sponsor’s policy regarding the use of personal information collected in connection with this Shop Loyalty Program.

EARNING REWARDS: Once a Business’s membership with the Shop Loyalty Program has been activated online, Members can earn reward dollars and certain other benefits and rewards that Sponsor makes available on the Website (“Rewards”). In particular:

Members may earn reward dollars on purchases of qualifying Beck/Arnley® foreign nameplate parts; Champion® Including spark plugs, filters, lighting, batteries; Fel-Pro® gaskets; FP Diesel® engine parts; MOOG® steering, suspension, driveline and wheel end parts; National® Oil Seals and Bearings; Sealed Power® and Speed-Pro® engine parts; Wagner® Brakes (including QuickStop, Severe Duty, OEX, and TQ), rotors and drums, hardware and hydraulics; and Wagner® Lighting, Walker@ Exhaust, Monroe® Shocks&Struts, Rancho®, DynoMax®, Thrush®and certain other Sponsor brand products as designated by Sponsor on the Website (“Eligible Purchases”). The number of reward dollars a Member will receive is based on a percentage of the net dollar amount of the Member’s Eligible Purchases during the Program Period, as determined by Sponsor. For the purposes of this Program, the “net dollar amount” refers to the net purchase price, minus any refunds, returns, or credits, and will be rounded to the nearest dollar.

Throughout the Program Period, Members will receive a reward based on the following tiers (“Tier(s)”):

Tier 1: Eligible Purchases up to $40,000.00 USD/CAD (as applicable) will earn a 2% Reward on the net dollar amount of the Eligible Purchases.

Tier 2: Eligible Purchases between $40,001.00 USD/CAD and $80,000.00 USD/CAD (as applicable) will earn a 3% Reward on the net dollar amount of the Eligible Purchases. The Tier 2 Reward percentage is not retroactive to prior purchases within the Promotion Period; Tier 2 Reward percentage will be applied only to invoices for Eligible Purchases between $40,001.00 and $80,000.00 USD/CAD.

Tier 3: Eligible Purchases above $80,000.00 USD/CAD (as applicable) will earn a 4% Reward on the net dollar amount of the Eligible Purchases. The Tier 3 Reward percentage is not retroactive to prior purchases within the Promotion Period; Tier 3 Reward percentage will be applied only to invoices for Eligible Purchases above $80,000.00USD/CAD.

Limited-Time Rewards Promotions During Program Period: During certain promotional periods that will be outlined on the Website, Members may have the opportunity to earn additional Rewards for a limited time. Visit the Website for details.

Sponsor will notify the Business of its eligibility to receive Tier 2, and/or Tier 3 Rewards via email to the email address associated with the Business’s Rewards Account and the Rewards Account will be updated with credits, if applicable, within five (5) business days. It is the Business’s sole and ultimate responsibility to determine how and if any Reward will be distributed or retained internally and Sponsor assumes no responsibility for the decisions made by such Business regarding internal Reward distribution, including the calculation of Eligible Purchases.

Eligible Purchases made prior to online activation to become a Member, but during the Program Period, will qualify for Rewards, provided the Business has taken the necessary steps to register in the Shop Loyalty Program. All qualifying invoices from the Program Period must be submitted within sixty (60) days of the original invoice date and no later than March 1, 2027 at 11:59:59 p.m. ET to be eligible for Rewards.

Purchases of the following products are not Eligible Purchases and do not earn Rewards: second-hand or distressed purchases; purchases from distributors who did not purchase the product from Sponsor; online purchases from websites other than those owned and controlled by the distributor of the product; purchases of products not listed as qualifying products above; returns or products replaced under warranty. Labor charges and taxes are not included in the net dollar amount for purposes of calculating Rewards. Rewards will only be earned on original invoices submitted by an approved electronic method for a membership linked to the Shop Loyalty Program that is open and current. No duplicate invoice submissions or mail-in invoices will be accepted. If invoices are submitted for parts delivered to Business addresses other than the business address associated with the Rewards Account for which they are submitted, that Rewards Account may be subject to disqualification from the Program in the Sponsor’s sole discretion. Eligible Purchases must be made from a distributor (including, without limitation, through Amazon) who has purchased the products directly from Sponsor, as demonstrated by satisfactory evidence. Invoices submitted are subject to review, audit, and acceptance by Sponsor or its agents in their sole discretion.

Members may also have the ability to participate in various predetermined special activities to earn additional Rewards as outlined on the Website during the Program Period (“Offers”). Offers may include free trials of new products or discounts from partner members, if such Offers are available and described on the Website. The amount of Rewards earned through a given Offer will be specified at the time the Offer appears on the Website. If Sponsor elects to award Rewards through an Offer during the Program Period, notice will be provided on the Website. To participate, browse the Website and select an Offer. All Offers are subject to any additional terms on the Website and these Terms. No Member will receive Rewards until the Member has completed the Offer’s activity or task, the activity or task has been verified, and the Member has fully complied with these Terms, as well as the terms of the respective Offer. Offers may be available for a limited time, and the Sponsor reserves the right to amend or remove any Offer, or to adjust the amount of Rewards associated with it, at any time.

A Rewards Account which has had no activity for a period of six (6) consecutive months will be deemed to be an “inactive” Rewards Account and any Rewards accumulated in an inactive Rewards Account will be forfeited without compensation and the Rewards Account will be terminated. Forfeited Rewards will no

longer be valid or usable. In the event that a Rewards Account is terminated, Members may re-register. Forfeited Rewards from previous Rewards Account will not be credited to new Rewards Account. A summary of a Member’s Rewards Account may be viewed at the Website by an Authorized Representative only. Sponsor will attempt to credit Members' Rewards Accounts with Rewards on a timely basis. Allow fourteen (14) business days for all submitted invoices to appear on the Member’s Rewards Account (may be later if a submitted invoice is held up in audit, or not at all, if a submitted invoice received cannot be processed). Each Member shall have the responsibility of ensuring that its Rewards are properly credited. Each Member acknowledges and agrees that the decisions of Sponsor shall be final, binding and conclusive in all matters relating to the Shop Loyalty Program, including without limitation determinations regarding the validity of Rewards and other materials submitted for verification. Sponsor and Shop Loyalty Program Parties are not responsible for and accept no liability in relation to incorrect Reward values displayed on the Website or elsewhere.

REWARDS VERIFICATION/REDEMPTION: Rewards earned in a calendar month are eligible for redemption on the 1st of the following month, allowing for processing time. Monthly redemption is encouraged but not required. Rewards will accumulate month to month if not redeemed. Rewards will be accumulated at a point value 1 dollar equals 1 points, rounding to the nearest dollar.

Points can be utilized on branded rewards located on the Website at point value

Purchase of Garage Guru Training Certificates ($50 USD certificates) that can be exchanged for Garage Guru training gift cards.

A Visa® pre-paid card. Visa pre-paid cards are subject to terms and conditions as set by issuer. Visa and the Visa logo are registered trademarks of Visa U.S.A. Inc. Visa U.S.A. Inc. is not a Sponsor of or affiliated with this Program

The Visa® pre-paid card rewards may only be redeemed for cash in amounts of $5 USD or more. Each Member has no interest in, or right to receive, Rewards below $5 USD, which amounts will be forfeited at the end of the Program Period. At the end of the Program Period, Members will have until April 1, 2027 to redeem Rewards or the Rewards will be forfeited.

There is no cap on the total amount of Rewards that may be earned or redeemed, provided Rewards are earned and redeemed in accordance with these Terms. After a redemption transaction is complete, the specified number of Rewards will automatically be debited from the Member’s Rewards Account. Subject to these Terms, unredeemed Rewards will remain in the Member’s Rewards Account and can be applied to a subsequent redemption transaction. Sponsor and Shop Loyalty Program Parties are not responsible for the failure of any Reward to be received by the intended Member. Rewards may not be redeemed by any person other than an Authorized Representative acting on behalf of the Business associated with the Rewards Account/Rewards. Rewards redemption requests are subject to verification of eligibility and compliance with these Terms. Rewards are provided “as is” with no warranty or guarantee, either express or implied, by Sponsor.

Taxes:

All costs and expenses associated with the acceptance and use of Rewards and/or any benefit not included in the Reward description as being provided (including, but not limited to, all federal, state, provincial, and local taxes) will be the sole responsibility of the Business. The IRS requires the

Sponsor to furnish a 1099 to eligible U.S. Businesses that earn $600 USD or more in Rewards within a calendar year and a 1042S to eligible Canadian Businesses (as applicable) that earn any Rewards within a calendar year. The U.S. Member will be required to complete and submit a W-9 to Sponsor when the $600 USD threshold has been reached. This W-9 will be required to earn additional Rewards for the remainder of the calendar year. The Canadian Member will be required to complete and submit a W-8BEN-E to Sponsor to earn Rewards for the calendar year.

Rewards do not constitute property, do not entitle a Member to a vested right or interest, and have no cash value unless successfully redeemed via the Website. Rewards can only be redeemed on the Website. Without limiting any other remedies, Sponsor may suspend or terminate any Rewards Account and invalidate any associated Rewards if Sponsor suspects in its sole discretion that any Member or other person has engaged in fraudulent activity in connection with this Shop Loyalty Program, including without limitation in the event Rewards were improperly credited to a Rewards Account or obtained fraudulently. The sale, barter, transfer or assignment of any accumulated Rewards (including on Internet auction sites), other than by Sponsor is strictly prohibited. Rewards may not be given away. Rewards are null and void and redemption requests will be rejected if Rewards are not obtained through authorized, legitimate channels. Any Rewards which Sponsor deems in its sole discretion to have been transferred, obtained, sold, bartered or assigned in violation of these Terms may be confiscated and/or canceled. All Rewards are subject to verification at the sole discretion of Sponsor. Anti-fraud detection devices may be used for verification purposes. Rewards will be void if they fail to pass anti-fraud detection measures, or, as determined by Sponsor and in its sole discretion, if such Rewards are found to be unauthorized, illegitimately obtained, or if they contain an unauthorized message, code or other marking not issued by Sponsor for use in this Shop Loyalty Program, or if they are defective or produced in error or are illegible or unreadable. No Reward redemption will be valid if such redemption is associated with any Reward deemed void for any reason, including without limitation, the following: (a) Reward is not verified or recognized as being validly issued by Sponsor in the Shop Loyalty Program; (b) Reward is determined to be previously entered and used; (c) Reward is incorrectly or incompletely entered or submitted; or (d) Reward is otherwise void. Notwithstanding the foregoing, Sponsor may, at its sole discretion and without obligation, elect to replace an invalid Reward with another Reward if appropriate upon request. Except as expressly stated above, Sponsor shall have no liability or obligation with respect to any void Reward.

Participation in the Shop Loyalty Program is subject to these Terms, as well as policies and procedures that Sponsor may adopt or modify from time to time. Any failure to abide by these Terms or any policies or procedures implemented by Sponsor, any conduct detrimental to Sponsor or any Shop Loyalty Program Parties, or any misrepresentation or fraudulent activities in connection with this Shop Loyalty Program, or failure to act in a manner consistent with federal, state, provincial, or local laws, regulations or ordinances by any Business and/or its Authorized Representative(s), may result, in addition to any rights or remedies available to Sponsor in law or equity, in the termination of the Business’s participation in the Shop Loyalty Program, as well as forfeiture of any Rewards accrued to date and any other benefits earned in connection therewith, in Sponsor’s sole discretion. Sponsor reserves the right in its sole discretion to disqualify any Business and/or Authorized Representative(s) from participating in any aspect of Shop Loyalty Program, and/or may cancel, suspend or block any Rewards Account registered by such person or entity if Sponsor and its administrators deem or suspect that such person or entity has engaged in or has attempted to engage in any of the following: (a) damaging, tampering with or corrupting the operation of the Shop Loyalty Program; (b) acting with intent to annoy, harass or abuse any other person; (c) use of any automated bot, script or other robotic, mechanical, programmed or automated devices to submit data to the Website; (d) repeated attempts to enter void invoices or Rewards in one or more Rewards Accounts, as determined by Sponsor; (e) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity; or (f) activity deemed in the sole discretion of Sponsor and its administrators to be generally inconsistent with the intended operation of the Shop Loyalty Program. CAUTION: ANY ATTEMPT BY A PERSON OR ENTITY TO DELIBERATELY DAMAGE OR CORRUPT ANY WEBSITE OR DEFRAUD SPONSOR TO OBTAIN REWARDS OR UNDERMINE THE LEGITIMATE OPERATION OF THE SHOP LOYALTY PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND ITS ADMINISTRATORS RESERVE THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH INDIVIDUAL OR ENTITY TO THE FULLEST EXTENT OF THE LAW.

Sponsor’s failure to enforce any term of these Terms shall not constitute a waiver of that or any other provision.

LIMITATIONS OF LIABILITY: No responsibility or liability is assumed by the Sponsor and Shop Loyalty Program Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Website/App and/or the DAP: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online, mobile or other communication problems; disruptions, errors or limitations of any Internet service providers or wireless carriers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail or text transmissions to be sent or received; lost, late, delayed or intercepted e-mail or text transmissions; inaccessibility of the Website/App and/or the DAP in whole or in part for any reason; traffic congestion on the Internet or Website/App and/or the DAP; unauthorized human or non-human intervention of the operation of the Shop Loyalty Program, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Shop Loyalty Program, or loss, miscount, misdirection, inaccessibility or unavailability of a Rewards Account used in connection with the Shop Loyalty Program. Sponsor and Shop Loyalty Program Parties are not responsible for any errors in the Rewards tallies, any display or announcement of Rewards, or Terms or any inaccurate or incorrect data contained on the Website/App and/or the DAP, including without limitation, the amount of Rewards available, or any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from online participation in the Shop Loyalty Program, or use of or download of any information from the Website/App. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE WEBSITE/APP AND/OR THE DAP IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR

PURPOSE OR NON-INFRINGEMENT. Under no circumstances will Sponsor and Shop Loyalty Program Parties be liable for punitive, incidental, consequential, or any other damages.

MODIFICATION/TERMINATION: The Shop Loyalty Program structure is subject to modification or limitation at any time, with or without notice, with prospective effect in Sponsor’s sole discretion, and Sponsor expressly reserves the right to establish additional means of accruing Rewards, to delete any or all of the currently recognized means of accruing Rewards, to exclude specific types of transaction therefrom or to make Rewards selectively available to certain Members based upon factors, effective prospectively, in its sole discretion. Additionally, membership in the Shop Loyalty Program is offered at the discretion of Sponsor and it reserves the right to modify these Terms, Reward redemption methods, benefits, Rewards, promotions, conditions of participation, rules for issuing, redeeming, retaining, using or forfeiting Rewards or any other aspect of the Shop Loyalty Program, in whole or part, at any time, with or without notice, with prospective effect. If for any reason Sponsor determines in its sole discretion that the Shop Loyalty Program is no longer capable of running as intended by these Terms for any reason whatsoever (including but not limited to, any occurrences described in section 6 above, or any other causeswhich may corrupt or impair the integrity, security, fairness or proper conduct of the Shop Loyalty Program, as determined by Sponsor in its sole discretion), Sponsor, at its sole discretion, reserves the right to cancel, terminate, suspend, postpone, delay or modify the Shop Loyalty Program in whole or in part, at any time, including without limitation, any means of application, registration, or participation. In the event Sponsor so cancels or terminates the Shop Loyalty Program, all unredeemed Rewards outstanding at the time of such cancellation or termination shall be void.

RELEASES: All Members, as a condition of participation in this Shop Loyalty Program, agree (and Authorized Representatives represent and warrant that they have all rights and authorization to agree on behalf of the Business) to release Sponsor, and Shop Loyalty Program Parties from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with accessing the Website/App, registering, redeeming Rewards, or otherwise participating in any aspect of the Shop Loyalty Program, the receipt, ownership or use of any Reward received, or while preparing for, participating in or traveling to or from any Reward-related activity (if applicable) or any typographical or other error in these Terms. Businesses bears all risk of loss or damage to a Reward after it has been delivered or downloaded.

BINDING ARBITRATION: Any controversy or claim arising out of or relating to these Terms or the Shop Loyalty Program shall be settled by final and binding arbitration in accordance with the rules of and shall be administered by the American Arbitration Association before a single arbitrator, with the proceedings to be held in Northville, Michigan, and, in the case of any appeal permitted under those rules, exclusive jurisdiction and venue will rest with the federal and state courts in the State of Michigan, County of Oakland. Each party shall bear his/her own legal expenses in such arbitration. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE MEMBER’S INDIVIDUAL CAPACITY (WHETHER A PERSON OR ENTITY), AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. NO MEMBER MAY PARTICIPATE IN THIS SHOP LOYALTY PROGRAM IF SUCH MEMBER DOES NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.

BY PARTICIPATING IN THIS SHOP LOYALTY PROGRAM, EACH MEMBER AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SHOP LOYALTY PROGRAM, OR ANY REWARD AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY MEMBER BE PERMITTED TO OBTAIN ANY AWARD FOR, AND EACH MEMBER HEREBY KNOWINGLY AND EXPRESSLY WAIVES

ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) A MEMBER’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND MEMBER IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY MEMBER.

GOVERNING LAW & JURISDICTION: These Terms and the Shop Loyalty Program are governed by U.S. and Michigan law and are subject to all applicable federal, state, provincial, and local laws and regulations. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of Members and Sponsor in connection with the Shop Loyalty Program, shall be governed by, and construed in accordance with, the laws of the State of Michigan, U.S.A., without giving effect to the conflict of laws rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Section 9 of these Terms and/or for entering any judgment on an arbitration award, shall take place in the federal, state and local courts located in the State of Michigan, County of Oakland.
